Sony Ericsson today announced it has reached agreement in principle for acquiring the Swedish software company UIQ Technology AB, a wholly-owned subsidiary of Symbian Ltd. Following completion of the acquisition, UIQ Technology will operate as a separate business subsidiary of Sony Ericsson under its current management team. UIQ on Symbian OS will continue to be openly available, licensed on equal terms to all its licensees.

QAD Inc. Acquires FBO Systems, Inc.

QAD Inc., a global provider of enterprise software and services, today announced that it has acquired Duluth, Georgia-based FBO Systems, Inc., a provider of Enterprise Asset Management (EAM) products and professional services. Approximately 70% of the all-cash purchase price consideration will be paid within 90 days of the November 3, 2006 close date, with the remaining 30%, subject to certain performance criteria, expected to be paid over a three-year period. The total net purchase price is expected to be approximately $4 million. FBOS’ Chief Executive Officer and co-Founder, Bo Hagler, has been named Director of the Enterprise Asset Management Product Unit at QAD.

$179 mln – the cost of Traffic.com for NAVTEQ

NAVTEQ, a leading global provider of digital maps for vehicle navigation and location-based solutions, announced it has agreed to acquire Traffic.com, provider of personalized traffic information in the United States for an equity value of approximately $179 million.  The acquisition of Traffic.com will provide NAVTEQ with proprietary traffic content, as well as the technology and expertise to deliver that content to a wide variety of customers across multiple industries.  The Board of Directors of each company has approved the agreement.

NVIDIA grabs semiconductors and firmware supplier for PMP

NVIDIA Corporation today announced that it has signed a definitive agreement to acquire San Jose, CA-based PortalPlayer, Inc., a leading supplier of semiconductors, firmware, and software for personal media players (PMPs) and secondary display-enabled computers.

Under terms of the agreement, NVIDIA will pay $13.50 in cash for each outstanding share of PortalPlayer common stock, which represents a total purchase price of approximately $357 million, or approximately $161 million net of cash on PortalPlayer’s balance sheet as of September 30, 2006. The purchase price represents approximately a 19% premium to the 20-day average closing price of PortalPlayer through Friday, November 3, 2006. This acquisition has been approved by the Board of Directors of each company and is subject to regulatory approvals and other customary closing conditions.

Avnet to Buy Access Distribution

Avnet, Inc. and MRA Systems, Inc., a subsidiary of General Electric Company, announced today that they have reached a definitive agreement for Avnet to acquire Access Distribution, a General Electric company and leading value-added distributor of complex computing solutions for $412,5 million in cash, subject to adjustments based upon net book value at closing. It is anticipated that the transaction, which is subject to normal regulatory approvals, will close by the end of calendar 2006.

VimpelCom to acquire Armenian telecom operator

“Vimpel-Communications” (“VimpelCom” ), russian mobile operator, today announced that it has signed an agreement with Hellenic Telecommunications Organization (“OTE”) to acquire 90% of CJSC Armenia Telephone Company (“Armentel”). The purchase price for 90% of Armentel is €341.9 million plus the assumption of approximately €40 million in net debt and obligations.

SPL – the second Oracle purchase in 2 days

Oracle today announced that it has acquired SPL WorldGroup, a leading provider of revenue and operations management software for the utilities industry and tax management software for government organizations.

SPL was purchased from private equity funds managed by GFI Energy Ventures LLC. Terms of the transaction were not disclosed.

The day before Oracle anounced merging with ECM provider Stellent.

Oracle Buys ECM provider Stellent for $440 million

Oracle announced that it has agreed to acquire Stellent, Inc. , a global provider of enterprise content management (ECM) software solutions, through a cash tender offer for $13.50 per share, or approximately $440 million.

Oracle will host a media conference call on Monday, November 13, 2006, to outline its enterprise content management strategy.

HP Completes Tender Offer for Mercury Interactive and Expects to Complete Acquisition Within Several Days

HP today announced that it has completed its tender offer for Mercury Interactive Corp., one of the leader in Business Technology Optimization (BTO) software and services.

HP’s tender offer for all of the outstanding shares of Mercury expired at midnight, New York City time, on November 1, 2006. As of that time, approximately 85.7 million shares, representing approximately 96 percent of Mercury’s outstanding shares, were tendered and not withdrawn in the offer (including shares tendered by notice of guaranteed delivery). HP has accepted for payment all tendered shares.

The completion of the tender offer is the first step in HP’s two-step acquisition of Mercury. The second and final step, the merger of Mercury with an HP subsidiary, is expected to occur within the next several days.
